1.Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and WebDBPro ("Company", "we", "us", "our") governing your access to and use of the WebDBPro web application, desktop application, API, and all related services (collectively the "Service" or "Software").

By accessing or using the Service in any manner — including by registering an account, downloading the desktop application, installing software, or clicking any button such as "I Agree", "Accept", "Sign Up", or "Get Started" — you confirm that:

2.Description of Service

WebDBPro is a database management tool that provides the following capabilities:

⚠ Important: All database operations are executed directly against the databases you connect. WebDBPro does not act as an intermediary safety layer and does not prevent the execution of destructive SQL statements unless you enable Safe Mode individually within the application.

3.Data Loss & Risk Acknowledgement

YOU EXPLICITLY ACKNOWLEDGE AND AGREE THAT USING WEBDBPRO CARRIES AN INHERENT AND SUBSTANTIAL RISK OF DATA LOSS, WHICH CANNOT BE FULLY MITIGATED BY THE SERVICE.

3.1 Nature of the Risk

WebDBPro executes SQL statements directly against databases that you connect. Operations that may result in permanent, irreversible data loss include but are not limited to:

Queries and SQL statements generated by the AI assistant (whether powered by OpenAI, Anthropic, OpenRouter, or any other provider) are not verified, audited, or guaranteed to be correct, safe, or accurate by WebDBPro. AI-generated SQL may:

You are solely responsible for reviewing, validating, and understanding every SQL statement before executing it. The AI assistant is a convenience tool only. You must not rely on AI-generated SQL without independent verification. WebDBPro accepts no responsibility for any consequence of executing AI-generated queries.

3.3 Irreversibility

Most destructive database operations are irreversible. Once data is deleted, a table is dropped, or a database is overwritten, it cannot be recovered by WebDBPro. Recovery is only possible if you have previously created and retained an independent backup. You explicitly acknowledge this risk and agree that WebDBPro bears no responsibility for the consequence of irreversible operations.

3.4 Safe Mode Limitation

WebDBPro includes an optional "Safe Mode" feature which, when enabled, attempts to block non-SELECT queries and certain write operations. However:

WebDBPro integrates with third-party artificial intelligence services including OpenAI, Anthropic, and OpenRouter ("AI Providers") using API keys provided by you. We make no warranties regarding:

AI outputs are provided for informational and assistance purposes only. They constitute suggestions, not instructions. You bear full responsibility for any action taken based on AI-generated content.

Your use of AI features is also subject to the terms of service of your chosen AI Provider. WebDBPro is not a party to the agreement between you and any AI Provider.

5.Limitation of Liability

LIMITATION OF LIABILITY — PLEASE READ CAREFULLY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEBDBPRO, ITS DEVELOPERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

(a) direct, indirect, incidental, special, consequential, or punitive damages of any kind; (b) loss of data, records, files, or databases; (c) loss of profits, revenue, or business; (d) business interruption or loss of business opportunity; (e) loss of goodwill or reputation; (f) loss of use of data or systems; (g) cost of substitute goods or services; or (h) any other tangible or intangible loss — arising out of or in connection with the use of or inability to use the Service, even if WebDBPro has been advised of the possibility of such damages, and regardless of the legal theory on which the claim is based (contract, tort, negligence, strict liability, or otherwise).

THIS INCLUDES, WITHOUT LIMITATION, ANY DAMAGES CAUSED BY OR ARISING FROM: data loss caused by any action taken within or facilitated by WebDBPro; execution of AI-generated SQL queries; backup or restore operations; inline grid edits; multi-statement SQL scripts; errors in AI-generated table designs; failures in third-party AI providers; security breaches; service outages; bugs or defects in the software; or any use of the software not in accordance with these terms.

5.1 Maximum Liability Cap

Without prejudice to the above, to the extent any liability cannot be entirely excluded by applicable law, the total aggregate liability of WebDBPro to you for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of: (a) the total subscription fees paid by you to WebDBPro in the three (3) calendar months immediately preceding the claim, or (b) £10 (ten pounds sterling).

5.2 Essential Basis

You acknowledge that WebDBPro has set its pricing and entered into this Agreement in reliance upon the limitations of liability stated herein, and that these limitations form an essential basis of the bargain between the parties.

5.3 Jurisdictional Variations

Some jurisdictions do not permit the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms shall exclude or limit liability for death or personal injury caused by gross negligence, or for fraudulent misrepresentation, or for any other liability which cannot be excluded or limited by applicable law.

It is entirely your responsibility to create, maintain, verify, and retain adequate, tested backups of all data before using WebDBPro or allowing WebDBPro to interact with any database.

WebDBPro provides a backup feature as a convenience. You must not rely solely on WebDBPro's backup feature as your only data protection mechanism. WebDBPro provides no warranty that backups created via the Service will be complete, accurate, or restorable. You should always maintain independent backups using appropriate backup tools and verify that backups are restorable before performing any potentially destructive operation.

Before performing any of the following actions, you must ensure you have a current, tested backup of all affected data:

Failure to maintain adequate backups releases WebDBPro from any obligation or liability in respect of data you lose.

8.Third-Party Connections & Services

8.1 External Databases

WebDBPro connects to external databases that are hosted, maintained, and controlled by you or third parties. WebDBPro has no control over, and accepts no responsibility for, the availability, integrity, or contents of any connected database.

8.2 AI Providers

The AI features of WebDBPro require you to supply your own API key from a third-party AI provider. Your use of any AI Provider is subject to that provider's own terms of service and privacy policy. WebDBPro is not responsible for:

Subscription payments are processed by Stripe, Inc. Your payment information is processed directly by Stripe and is not stored by WebDBPro. Stripe's Privacy Policy and Terms of Service apply to all payment processing.

9.Subscriptions & Billing

9.1 Plans & Fees

Access to certain features of the Service requires a paid subscription. Current pricing plans and fees are available at /pricing. All prices are stated in pounds sterling (GBP) unless otherwise indicated, and are exclusive of VAT where applicable.

9.2 Free Trial

We may offer a free trial period. At the end of the free trial, your selected subscription will automatically commence and you will be charged the applicable subscription fee unless you cancel before the trial period expires.

9.3 Recurring Billing

Subscriptions are billed on a recurring basis (monthly or annually). By subscribing, you authorise WebDBPro to charge your payment method on a recurring basis until you cancel. You may cancel at any time via your billing portal.

9.4 Cancellation & Refunds

You may cancel your subscription at any time. Following cancellation, your subscription will remain active until the end of the current billing period, after which access to paid features will cease. We do not provide refunds for any partial billing periods, unused subscription time, or subscription fees already charged, except where required by applicable consumer law.

9.5 Price Changes

WebDBPro reserves the right to change subscription prices at any time. Any price change will be communicated to you via the email address on your account before taking effect. Continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing.

9.6 Account Suspension

WebDBPro reserves the right to suspend or terminate your account in the event of non-payment, fraudulent activity, or breach of these Terms. Any data associated with a suspended or terminated account may be permanently deleted after a reasonable notice period.

10.Acceptable Use Policy

You agree not to use the Service to:

11.Intellectual Property

The Service, including all software, code, algorithms, user interfaces, text, graphics, logos, and designs (the "WebDBPro IP"), is and remains the exclusive intellectual property of WebDBPro and its licensors. Nothing in these Terms transfers any ownership rights in the WebDBPro IP to you.

Subject to your compliance with these Terms and any applicable subscription fees, WebDBPro grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose solely for your own internal business or personal use.

You retain all rights in data, queries, and content that you create using the Service. By using our service, you grant WebDBPro a limited licence to process and transmit data solely as necessary to provide the Service to you.

12.Privacy & Data

12.1 Your Data

WebDBPro stores the minimum data necessary to provide the Service, including your account information, database connection credentials (encrypted at rest using AES-256-GCM), saved queries (encrypted at rest), and dashboard configurations.

12.2 Connection Credentials

Database connection passwords and API keys are encrypted before storage using AES-256-GCM encryption. Despite this, you must ensure that credentials you store in WebDBPro are for accounts with the minimum necessary privileges and not production superuser accounts where avoidable.

12.3 Data Submitted to AI

When you use AI features, portions of your database schema (table names, column names, types) and message history may be transmitted to your chosen third-party AI Provider (OpenAI, Anthropic, OpenRouter). You must not connect databases containing sensitive, regulated, or personal data to AI features unless you have informed consent and a lawful basis to transmit that schema to a third-party AI provider.

12.4 Desktop App

The WebDBPro desktop application stores connection credentials locally on your device in an encrypted file. WebDBPro does not access or transmit locally-stored credentials to our servers.

12.5 Cookies & Analytics

The web application may use essential cookies for session management. We do not use third-party advertising or tracking cookies.

13.Security

WebDBPro implements reasonable security measures to protect the Service and data held within it, including encryption of credentials and query data at rest. However:

WebDBPro shall not be liable for any loss or damage arising from unauthorised access to your account if the breach is attributable to your failure to maintain the security of your account credentials.

14.Service Availability & Modifications

14.1 No Uptime Guarantee

WebDBPro does not warrant that the Service will be available at all times, uninterrupted, or error-free. We may carry out maintenance, updates, or modifications that result in temporary unavailability. WebDBPro shall not be liable for any loss arising from service downtime or interruption.

14.2 Modifications

WebDBPro reserves the right to modify, suspend, or discontinue any aspect of the Service at any time without notice. We will endeavour to give reasonable advance notice of material changes when practicable, but are not obligated to do so.

14.3 Beta Features

Features marked as "beta", "experimental", or "preview" are provided without any warranty whatsoever and may be withdrawn, changed, or altered at any time. Use of beta features is at your sole risk.

15.Indemnification

You agree to indemnify, defend, and hold harmless WebDBPro and its developers, directors, officers, employees, contractors, agents, and affiliates from and against any and all claims, actions, demands, damages, losses, costs, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with:

WebDBPro reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case you agree to cooperate with our defence of such claim.

16.Termination

By you: You may terminate your account at any time by cancelling your subscription and deleting your account from the account settings page. Upon termination, your access to the Service will cease at the end of the current billing period.

By WebDBPro: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

Effect of termination: Upon termination of your account, all data stored by WebDBPro on your behalf (saved queries, connections, dashboards) may be permanently deleted. You are responsible for exporting any data you wish to retain before account termination. WebDBPro shall not be liable for any loss of data upon account termination.

17.Changes to These Terms

WebDBPro reserves the right to update or modify these Terms at any time. When we make material changes, we will notify you by:

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to any revised Terms, you must immediately discontinue use of the Service.

It is your responsibility to review these Terms periodically. We recommend bookmarking this page and checking it whenever you receive a notification of changes.

18.Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute informally by contacting us at hello@webdbpro.com. We will attempt to resolve disputes within 30 days of receiving written notice.

Note for consumers: If you are a consumer in the European Union, you may have additional rights under applicable consumer protection laws in your country of residence. Nothing in these Terms shall limit any rights you have as a consumer under EU or UK consumer protection law that cannot be excluded by contract.

19.Severability & Entire Agreement

19.1 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

19.2 Entire Agreement

These Terms, together with any applicable subscription agreement, constitute the entire agreement between you and WebDBPro with respect to the Service and supersede all prior or contemporaneous agreements, representations, communications, and proposals, whether oral or written.

19.3 Waiver

No delay or failure by WebDBPro to exercise any right or remedy under these Terms shall constitute a waiver of that right or remedy.

19.4 No Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. WebDBPro may assign these Terms, in whole or in part, without restriction.
